摘 要
随着市场经济的不断发展，反垄断成为维护市场公平竞争秩序的重要手段，而企业合规在反垄断法律框架下显得尤为重要。本研究旨在探讨反垄断法律框架下企业合规面临的难点并提出相应对策。通过文献分析与案例研究相结合的方法，深入剖析企业在反垄断合规方面存在的问题，如法律法规复杂多变难以准确把握、合规成本高且效果难以评估等难点。研究发现，当前企业面临的主要挑战在于如何平衡创新发展与遵守反垄断法规之间的关系，在具体操作层面缺乏明确指引。针对上述问题，本文创新性地提出构建以风险防控为导向的企业内部合规体系，强调将合规管理融入企业日常经营决策过程之中，同时倡导政府相关部门应加强政策解读与指导服务，完善相关法律法规配套措施，为企业提供更加清晰稳定的合规环境。这不仅有助于提高企业的合规意识和能力，也为我国反垄断法律制度的有效实施提供了有益参考，对促进市场经济健康有序发展具有重要意义。

Abstract
As the market economy continues to develop, antitrust measures have become an essential means of maintaining fair competition. Corporate compliance under the antitrust legal fr amework has thus assumed critical importance. This study aims to explore the challenges faced by enterprises in ensuring compliance within this fr amework and proposes corresponding strategies. By integrating literature analysis with case studies, this research delves into issues such as the complexity and variability of laws and regulations that make accurate compliance difficult, high compliance costs with uncertain outcomes, and other obstacles. The findings indicate that the primary challenge for enterprises lies in balancing innovation and development with adherence to antitrust regulations, while lacking clear guidance on operational specifics. In response to these challenges, this paper innovatively proposes the establishment of an enterprise internal compliance system oriented towards risk prevention, emphasizing the integration of compliance management into daily business decision-making processes. It also advocates for relevant government departments to enhance policy interpretation and guidance services, improve supporting measures for laws and regulations, and provide a clearer and more stable compliance environment for enterprises. This approach not only enhances corporate compliance awareness and capability but also offers valuable insights for the effective implementation of China’s antitrust legal system, contributing significantly to the healthy and orderly development of the market economy.
