摘 要
在行业整合的大背景下,企业并购成为市场发展的重要策略。本研究旨在深入探讨企业并购的动机及其产生的效果,采用定量分析与案例研究相结合的方法,对近年来典型的并购案例进行了深入分析。研究发现,企业并购的动机主要包括扩大市场份额、获取技术优势、实现资源优化配置和提高经营效率等。通过对并购前后的财务数据、市场竞争力以及创新能力进行对比分析,结果显示并购活动在一定程度上提升了企业的整体绩效,尤其是在技术整合和市场拓展方面表现显著。本研究还进一步探讨了并购过程中可能出现的风险和挑战,并提出了相应的应对策略。

Abstract
In the context of industry integration, enterprise mergers and acquisitions have become an important strategy for market development. This study aims to explore the motivation of merger and adopt the combination of quantitative analysis and case study to analyze the typical merger cases in recent years. It is found that the motivation of merger and acquisition mainly includes expanding market share, acquiring technological advantages, realizing optimal allocation of resources and improving operating efficiency. Through the comparative analysis of the financial data, market competitiveness and innovation ability before and after the merger, the results show that the merger and acquisition activities have improved the overall performance of the enterprise to a certain extent, especially in the technology integration and market expansion. This study also further explored the possible risks and challenges during the merger process and proposed corresponding coping strategies.
